Terms of Service
Last updated October 8, 2026
These are the terms between you and Outpace Holdings LLC, doing business as Outpace Trade ("we", "us"), a California company at 2108 N St, Sacramento, CA 95816, United States. They cover outpacetrade.com and the Outpace Trade app (together, the "service").
By creating an account or using the service you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the service.
We tried to write these in plain English. Where a sentence is in capital letters, it is because the law asks that kind of statement to stand out.
Contact: quinn@outpacetrade.com, or by post to the address above.
1. What Outpace Trade is, and is not
Outpace Trade is an educational software tool for self-directed swing traders. It describes stock chart setups using fixed technical criteria and historical data, keeps your trading journal, and gives coaching based on what you write in it. Parts of the written analysis and coaching are produced by an AI model.
It is not financial advice. Nothing in the service, including any grade, score, checklist result, market state, coaching message or written analysis, is investment advice, a recommendation, or an offer to buy or sell any security. The service does not know your finances, goals or risk tolerance, and it does not tailor anything to them. Outpace Holdings LLC is not a registered investment adviser, broker-dealer or financial planner, and using the service does not create any professional relationship.
Every trading decision is yours. Trading involves substantial risk, including the loss of all the money you put in. How a setup or pattern behaved in the past says nothing about how it will behave next. Check anything you rely on, and talk to a licensed professional before you invest.
AI output can be wrong. The analysis and coaching are generated automatically and can contain mistakes, omissions or stale data. We make no promise that any of it is accurate or complete.
2. Who may use it
You must be 18 or older. By creating an account you confirm that you are. If we learn that an account belongs to someone under 18, we close it.
You must give us a working email address and keep it current. You are responsible for everything done through your account, so keep your email account and Google account secure; we do not use passwords, so those are the keys to your account.
During the private beta, accounts are created by invitation. Outpace is not available in the European Economic Area, the United Kingdom or Switzerland during the beta, and we may decline or close accounts from places where offering the service would break a law or require a license we do not hold.
You may use the service only for your own trading education. Automated access (bots, scrapers), reselling or republishing its output, and using it for anything unlawful are not allowed (section 6).
3. Plans, payment and cancellation
During the private beta the service is free. Features, limits and availability can change while we build it.
When paid plans open, the price, the billing period and any trial are shown on the upgrade page before you pay. Payments are handled by Stripe; we never see your card details. Prices are in US dollars and may include sales tax where required.
Paid plans renew automatically at the end of each billing period, and you authorize us to charge your payment method for each renewal until you cancel. You can cancel at any time in Settings or by emailing us; the cancellation takes effect at the end of the period you have paid for, and you keep access until then. We tell you about any price change before it applies to you.
Refunds. Payments are not refunded, except where the law requires it. If something went wrong with your purchase, email us and we will look at it.
Usage limits. Each plan has limits, such as a number of analyses per month and per hour. The current limits are shown in the app. We may change them, and we may refuse or cancel an order we believe is fraudulent.
4. Your content
Your journal entries, trade plans, rules, notes, chat messages, imported trade history and anything else you enter are yours. You give us permission to store, process and display them so the service can work, including sending the relevant parts to our AI provider to produce your analysis and coaching (how that works is in section 6 of the Privacy Policy). This permission ends when you delete the content or your account, except for the items the Privacy Policy says remain after deletion.
You are responsible for what you enter. Do not enter anything you do not have the right to share, anything unlawful, or anything that is not yours.
If you send us feedback or suggestions, we may use them freely to improve the service, without owing you anything. That is the only thing you give us outright.
Nothing you enter is shown to other users unless you choose to share it. If you create a shared grade card, the public page shows the ticker, grade, score, market state and date only, as described in the Privacy Policy.
5. Our content
The service itself (the software, the grading method, the analysis text, the designs, the name and logo) belongs to Outpace Holdings LLC or its licensors. We give you a personal, non-transferable permission to use it while you have an account and follow these terms. You may keep copies of your own analyses and the data you export for your personal use.
You may not copy, sell, resell, publish or redistribute the service or its output, build a competing product from it, or try to reverse-engineer the grading logic. Market data shown in the service comes from third-party providers and is for your personal use within the service.
6. Rules of use
Do not:
- use bots, scripts or scrapers to access the service, or pull data out of it in bulk;
- resell, republish or redistribute analyses, grades or other output, or use the service to build a competing product;
- reverse-engineer the software or the grading logic;
- get around usage limits, security measures or region checks, or share your account;
- create accounts with false details, with someone else's email, or in bulk;
- upload anything harmful (malware, code that interferes with the service) or try to disrupt it;
- use the service for insider trading, market manipulation or any other breach of securities law, or for anything else unlawful;
- harass or threaten anyone through the service, or impersonate another person.
If you break these rules we may limit, suspend or close your account (section 8).
7. Changes to the service and to these terms
The service is in active development. We may add, change or remove features, and we may take the service down for maintenance or because of problems outside our control. We do not promise that it will be available at all times, and we are not liable for the effects of downtime or of a feature changing.
We may change these terms. When we do, we update the date at the top and describe the change under Changes to this page at the bottom. If a change takes away a right you have or adds an obligation, we email account holders before it takes effect. Using the service after a change takes effect means you accept the new terms. If you do not accept, stop using the service and, if you like, delete your account.
8. Ending the agreement
You can delete your account at any time in Settings. The Privacy Policy explains what is removed and what remains.
We may suspend or close your account if you break these terms, if the law requires it, or if we stop offering the service. Where we can, we tell you first and give you a chance to export your data. If we close your account for breaking these terms, you may not open another one.
Sections 1, 4, 5, 9, 10, 11 and 12 continue to apply after the agreement ends.
9. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ITS ANALYSES, GRADES, MARKET DATA OR COACHING ARE ACCURATE, COMPLETE, TIMELY OR ERROR-FREE, THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE, OR THAT USING IT WILL LEAD TO ANY PARTICULAR TRADING RESULT.
Some places do not allow these exclusions, so some may not apply to you.
10. Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, OUTPACE HOLDINGS LLC AND ITS OWNERS, EMPLOYEES AND CONTRACTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST REVENUE OR LOST DATA, ARISING FROM THE SERVICE OR YOUR USE OF IT, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS TOGETHER IS LIMITED TO THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM AROSE.
Some places do not allow some of these limits, so some may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
11. If your use causes a claim against us
If someone brings a claim against us because of your use of the service, your content, or your breach of these terms or of the law, you agree to cover the costs that claim causes us, including reasonable legal fees. We will tell you about the claim promptly and may choose to handle its defense ourselves, with your cooperation.
12. Disputes
Talk first. If either of us has a dispute about these terms or the service, we each agree to write to the other and spend at least 30 days trying to resolve it informally before starting any formal process.
Then individual arbitration. If that fails, the dispute is settled by binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association (adr.org), held in California or online, by a single arbitrator who must follow the law. Your share of the arbitration fees is governed by those rules; if the arbitrator finds the costs excessive, we pay them. Either of us can ask a court to enforce the arbitrator's decision. BY AGREEING TO ARBITRATION, YOU AND WE EACH GIVE UP THE RIGHT TO SUE IN COURT AND TO A JURY TRIAL.
No class actions. Disputes are resolved one at a time. Neither of us may bring or join a class, collective or representative action, and the arbitrator may not combine your dispute with anyone else's.
Exceptions. Either of us may bring an individual claim in small claims court instead, and either of us may go to court to protect intellectual property or to stop unauthorized use of the service.
Law and courts. These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. If a dispute goes to court rather than arbitration, it is brought in the state or federal courts in California, and you agree to their jurisdiction. Any claim must be started within one year of when it arose, or it is barred, where the law allows that limit.
If any part of this section is found unenforceable, that part is severed and the rest still applies, except that if the class action waiver is found unenforceable, the arbitration agreement does not apply to that dispute.
13. California residents
If you have a complaint we have not resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
14. The rest
Electronic notices. We communicate with you by email and in the app, and you agree that electronic notices, agreements and records satisfy any requirement that they be in writing.
Whole agreement. These terms and the Privacy Policy are the whole agreement between you and us about the service. If a court finds part of them unenforceable, the rest still applies. If we do not enforce a term once, we can still enforce it later.
Transfer. You may not transfer your account or this agreement to anyone else. We may transfer our rights and obligations to a successor if the business is sold or reorganized, and we will tell you if that happens.
Events outside our control. We are not responsible for delays or failures caused by things beyond our reasonable control, such as outages at our providers, market-data interruptions or internet failures.
No partnership. Using the service does not make you our partner, employee or agent, and these terms are not construed against us just because we drafted them.

Changes to this page
- October 8, 2026: Rewritten in our own words (the earlier text came from a terms generator). The substance is the same: educational only, not financial advice; you must be 18 or older; your content stays yours; disputes go to individual arbitration in California. What changed in fact: the service is free during the private beta, and the old 14-day trial wording is gone; prices and any trial are shown before you pay once paid plans open. We removed sections about features we do not have (mobile app, user-posted content).
- October 7, 2026: Moved from Termly to this page with factual corrections only: our legal name (Outpace Holdings LLC), no mobile app, the Privacy Policy link, sign-in by email link or Google rather than a password, and what happens to chart images when you delete your account.
- June 17, 2026: First published (on Termly).
